Martin Legault, Chief Executive Officer
Martin Legault is the founder of Premier Soin and has been it Chief Executive Officer since its incorporation in 2003. He has over 25 years of experience in management and operations of several companies in Québec. His past experiences include direct responsibility for over 500 employees in the context of transnational franchises and points of services.
Martin Legault holds the title of Administrateur Agréé (Adm.A.) delivered by the Ordre des administrateurs agréés du Québec.
Sylvain Charbonneau, MBA, Chief Financial Officer
Mr. Charbonneau, who joined us in october of 2020, is an experienced manager in finance with over 25 years of experience. Since 2016, he holds a CFO position for Transtex LLC, a $35 million revenue manufacturing company. In the last 10 years, he acts as Chief Financial Officer and Board member for 3 leading manufacturers, supporting their growth and international expansion. His career also includes experiences working at Deloitte and SGF (ex Investissement Québec). His strength lies in his leadership, strategic vision, judgement and analytical capacity to evaluate investment projects.
He has obtained his MBA from HEC Montreal business school in 1993, after a Bachelor of Business Administration degree.
Jean-Robert Pronovost, Vice President Corporate Development
Mr. Pronovost is Managing Partner and co-founder of Cape Partners Inc., a Canadian boutique private equity firm. Before co-founding Cape Partners, Mr. Pronovost was a partner and co-founder of IUGO Capital, a family office venture capital fund with investments in Canada, the United States and Europe. Mr. Pronovost was responsible for direct investments, strategic divestitures as well as restructurings and acted as board member of several portfolio companies. Previously, Mr. Pronovost spent four years at Credit Suisse First Boston advising on large mergers and acquisitions and executing public and private financings for Canadian and foreign corporate clients. He also worked six years at various positions at the Caisse de Dépôt et Placement du Québec where he elaborated investment allocation strategies and securitization vehicles for alternative assets. He began his career at British Telecom as a financial analyst.
Mr. Pronovost has a degree in economics and finance from Laval University and a joint MBA from the École Supérieure de Gestion at UQAM and Florida International University
Marie Laberge, Audit Committee
Marie Laberge holds 20 years experience in the financial services industry. She was involved in international as well as national corporate banking, loan syndications, capital markets and correspondent banking. She served as Chief Representative for BayernLB, a German bank, in Canada as well as other positions for the bank from 2001 to 2009. She also served as Member of Senior Management for Credit Suisse in Canada where she lead the Corporate Banking team in Montréal, and other positions for the bank from 1991 to 1998. She contributed to obtaining leading positions in a number of large syndicated transactions ranging in size from $10 million to $3 billion. She also worked for BMO, ABN Bank and other financial institutions.
Marie holds a BA in Commerce and a M.Sc. in Finance from HEC Montréal.
Hubert Marleau, President Audit Commitee
Economist and co-founder of Palos Management, Hubert has over 45 years of experience in the financial community where he held senior roles at Nesbitt Burns and Levesque Beaubien. Hubert was also Governor of the Toronto, Montréal and Vancouver Stock Exchanges and has acted as board member of over 50 publicly listed companies.
Mr. Marleau holds a Bachelor in Science from the University of Ottawa.
Me Gilles Seguin, Governance Committee
Me Seguin is currently a partner and Vice-Chairman of the board of BCF Business Law. He is a corporate finance and securities lawyer with approximately 35 years of experience, both nationally and internationally. Me Seguin has acted as a director for multiple public companies. From 2011 until April 2018 he was a director of Intema Solutions Inc., a TSXV listed leader in permission-based email marketing.
Gilles Seguin holds a law degree (LL.B) from Laval University and has been a member in good-standing of the Barreau du Québec since 1982. He is a member of the Barreau de Paris since 2016.
Anne Côté, Governance & Compensation Committee
Anne Côté is a retired lawyer (since march 2019) and a corporate director with over 35 years of experience in business, particularly in the fields of healthcare, venture capital and technology commercialization. Mrs Côté practiced law for multiple years before joining Hydro-Québec where she joined the team in charge of strategic planning. From 2004 to 2016, she was the Vice-President, Legal & Corporate Affairs & Communications at Groupe Santé Sedna Inc., a healthcare company that specializes in residence for the elderly and persons in need of assistance as well as in providing specialized healthcare to those persons. Anne Côté was appointed by Quebec’s Minister of Finance to sit as an independent director on the Board of Directors of the Chambre de la sécurité financière, Canada’s only multidisciplinary self-regulatory organization. She is also the 2nd Vice-President of the Board of Directors and is a member of the Governance Committee and the Compliance Committee of such Board. She was also an independent director of the CIUSSS-de-l’Est-de-l’Île-deMontréal, is a member of the Audit Committee and is the chair of the Governance & Ethics Committee of that Board.
Mrs Côté is a graduate of University of Montréal (LL.B.), is a member of the Barreau du Québec, was a member of the Alberta Bar and is also a graduate of McGill University (graduate program in Management Science) . Anne Côté holds an ICD.D certification from the Institute of Corporate Directors.
Joseph Cianci, Board member
Joseph Cianci is CPA, CA since 1986 and presently manages his Chartered Professional Accountant’s practice. He has extensive experience in banking, finance, taxation and management advisory services gained through his years at BDO Dunwoody, Raymond Chabot Grant Thornton and previous positions over the past 35 years as Chief Financial Officer of a Financial Services Trust, a publicly listed real estate company and privately owned retail and real estate companies. He advises on a consulting basis several companies listed on public exchanges and is a trustee for several privately held family trusts.
Mr. Cianci holds a B. Comm and is a graduate in Accounting from the University of Concordia in Montreal, Quebec.
